2 Description of Services

Cita365 provides an AI-powered voice agent platform that allows businesses ("business clients") to handle inbound phone calls, qualify leads, schedule appointments, and route callers — all through an automated conversational AI system.

Services include but are not limited to:

• AI voice agent call handling on behalf of business clients.
• Real-time caller intent classification and routing.
• Appointment scheduling and lead qualification workflows.
• SMS appointment reminders sent to end-users who have verbally opted in during an AI-assisted phone call.
• Call transcription, logging, and reporting for business clients.

We reserve the right to modify, suspend, or discontinue any aspect of our services at any time without prior notice.

3 Eligibility

You must be at least 18 years of age to use our services or submit information through our website. By using Cita365, you represent and warrant that you meet this age requirement. Our services are intended for use within the United States.

4 Account & Access

Business clients who access the Cita365 platform may be required to create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately of any unauthorized use of your account.

We reserve the right to suspend or terminate accounts that violate these Terms, engage in abusive behavior, or present a risk to the platform or other users.

5 SMS Messaging Terms

Cita365 sends SMS messages solely to individuals who have provided explicit prior consent. By opting in, you agree to receive text messages from Cita365 on behalf of our business clients.

No mobile information, including SMS opt-in data and consent, will be shared with third parties or affiliates for marketing or promotional purposes. All the above categories exclude text messaging originator opt-in data and consent; this information will not be shared with any third parties.

6 Acceptable Use

You agree not to use Cita365 or our services to:

• Violate any applicable local, state, federal, or international law or regulation.
• Send unsolicited communications or spam of any kind.
• Impersonate any person or entity or misrepresent your affiliation.
• Transmit any content that is unlawful, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable.
• Interfere with or disrupt the integrity or performance of the platform or its infrastructure.
• Attempt to gain unauthorized access to any part of the platform or its related systems.
• Use the platform for any purpose other than its intended use as described in Section 2.

Business clients are responsible for ensuring their use of the Cita365 platform complies with all applicable laws, including TCPA and CAN-SPAM, for communications directed at their own end-users.

7 Intellectual Property

All content on www.cita365.com — including text, graphics, logos, software, and platform code — is the property of Fair Designs / Cita365 or its licensors and is protected by applicable intellectual property laws.

You may not reproduce, distribute, modify, create derivative works from, or commercially exploit any content from our platform without our prior written consent. Nothing in these Terms grants you any license or right to use our trademarks or branding.

8 Third-Party Services

Cita365 integrates with third-party services including telephony providers, SMS carriers, speech recognition services, and AI language model providers to deliver its platform. These third parties have their own terms of service and privacy policies, which govern their respective services.

We are not responsible for the actions, content, or policies of any third-party service providers. Your use of third-party services through our platform is at your own risk.

9 Disclaimer of Warranties

Our services are provided on an "as is" and "as available" basis without any warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

We do not warrant that our services will be uninterrupted, error-free, or completely secure. AI-generated responses may contain inaccuracies and should not be relied upon as legal, medical, or professional advice. Always consult a qualified professional for matters requiring expert judgment.

10 Limitation of Liability

To the fullest extent permitted by applicable law, Fair Designs / Cita365 shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including but not limited to loss of profits, data, goodwill, or business opportunities — arising out of or related to your use of our services, even if we have been advised of the possibility of such damages.

Our total cumulative liability to you for any claims arising under these Terms shall not exceed the greater of (a) the amount you paid us in the 12 months preceding the claim, or (b) one hundred dollars ($100.00).

11 Indemnification

You agree to indemnify, defend, and hold harmless Fair Designs / Cita365 and its affiliates, officers, agents, and employees from any claims, liabilities, damages, losses, and expenses — including reasonable attorneys' fees — arising out of or related to:

• Your use of our services in violation of these Terms.
• Your violation of any applicable law or regulation.
• Any content you submit, transmit, or make available through our platform.
• Your infringement of any third-party rights.

12 Termination

We reserve the right to suspend or terminate your access to our services at any time, with or without cause, and with or without notice. Upon termination, your right to use our services ceases immediately.

You may stop using our services at any time. To request deletion of your data, contact us at the address in Section 15. Sections 7, 9, 10, 11, and 13 survive any termination of these Terms.

13 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in Florida.

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
